Terms of Service

1. Defined Terms

As used in these Terms of Service, the following terms have the following meanings:

  • "Service" means the Loanwright platform, including its website, application, and all features.
  • "Guidelines" or "Agency Guidelines"means the publicly available seller guides, handbooks, federal regulations, and policy documents published by government-sponsored enterprises (Fannie Mae, Freddie Mac) and federal agencies (FHA/HUD, USDA, and the U.S. Department of Veterans Affairs Loan Guaranty Service, including 38 CFR Part 36 as published in the Electronic Code of Federal Regulations, the active VA Loan Guaranty Circulars published at benefits.va.gov, and the VA Lender's Handbook (Pamphlet 26-7) as published in the VA KnowVA self-service portal). "Guidelines" refers exclusively to these third-party publications. It does not refer to advice, recommendations, interpretations, or policies of Loanwright. Loanwright does not author, maintain, or guarantee the accuracy of any Guidelines.
  • "Guideline Search" means the feature of the Service that retrieves passages from Agency Guidelines in response to a user query. Two surfaces exist: (a) a public, no-account version at /tools/guideline-search that returns the matched guideline excerpts verbatim, with no AI-generated summary; and (b) a signed-in version that runs the same retrieval and also uses artificial intelligence to summarize the matched excerpts into a cited answer. Both surfaces are reference tools, not advisors, compliance checkers, or decision-makers.
  • "AI-Generated Content" means any text, summaries, or answers produced by artificial intelligence models within the Service, including Guideline Search results. AI-Generated Content is derived from Agency Guidelines and may be inaccurate, incomplete, or outdated.
  • "Company," "we," "us" means Loanwright, a sole proprietorship operating in the State of Colorado.

2. Acceptance of Terms

By accessing, signing into, or using Loanwright (the Service), you agree to be bound by these Terms of Service ("Terms"), including the disclaimers, limitations of liability, and assumption of risk provisions contained herein. If you do not agree, do not use the Service.

You acknowledge that the Service is an organizational and workflow tool and that you assume full responsibility for any decisions, actions, or submissions you make in reliance on or in connection with the Service, its checklists, its Guideline Search results, or any other outputs.

3. Description of Service

Loanwright provides file readiness checklists, condition tracking, Guideline Search, document export, and organizational tools for mortgage brokerages. Free accounts are limited to 5 loan files per calendar month. Pro subscribers may create unlimited loan files and access Guideline Search, which is subject to a monthly query limit (currently 100 queries per month). Additional features may be added over time. The Service is provided on an "as is" basis.

File readiness checklists are generated using rule-based logic (not artificial intelligence) based on the loan parameters you provide. Condition tracking is a user-managed organizational tool; all condition data is entered and maintained by you. Guideline Search (as defined in Section 1) uses vector retrieval over Agency Guidelines on both its public and signed-in surfaces. Only the signed-in surface uses artificial intelligence to summarize the retrieved excerpts; the public surface returns the source passages without an AI-generated summary.

Export for Submission allows you to download your uploaded documents and a checklist summary as a single archive file. Exported files are provided as-is with no warranty of completeness or accuracy.

4. Not Professional Advice

LOANWRIGHT IS AN ORGANIZATIONAL TOOL AND IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, COMPLIANCE, REGULATORY, OR FINANCIAL ADVICE.

Checklists and readiness assessments are generated using rule-based logic and may be incomplete, inaccurate, or out of date. They do not constitute legal opinions, compliance certifications, or guarantees that a loan file meets any particular lender, investor, or agency requirement.

Guideline Search and AI-Generated Content. The signed-in Guideline Search retrieves and summarizes content from Agency Guidelines (as defined in Section 1) using artificial intelligence. Summaries produced by the signed-in surface are AI-Generated Content and are clearly labeled as such. The public Guideline Search at /tools/guideline-search does not produce AI-Generated Content; it returns the matched agency excerpts verbatim. AI-Generated Content (when produced):

  • Is derived from publicly available Agency Guidelines and may not reflect the most current version of those documents
  • May contain errors, omissions, or inaccuracies
  • Does not constitute professional advice, compliance certification, a compliance audit, a file review, a substitute for underwriting, or a recommendation to take or refrain from any action
  • Does not evaluate individual borrower eligibility or make lending decisions
  • Is processed by third-party AI providers (currently OpenAI) as disclosed in our Privacy Policy
  • May be served from a cache when a substantially similar question has been previously answered; cached answers display the original processing time and are labeled accordingly. Cached answers are automatically invalidated when the underlying knowledge base is updated, ensuring cached results reflect the same guideline versions as freshly generated answers

You are solely responsible for verifying all information, including AI-Generated Content, against the original source documents before making any decisions. You must obtain appropriate professional advice before submission to any lender, investor, or government agency.

Exported Files and Nonpublic Personal Information. Files exported through the Export for Submission feature may contain nonpublic personal information (NPI) as defined under the Gramm-Leach-Bliley Act (GLBA). Once downloaded, you are solely responsible for the security, storage, transmission, and disposal of the exported data. Loanwright is not responsible for any unauthorized access, loss, or disclosure of exported files after download. Exported archive files are generated on-demand and provided as-is; you must verify all contents against original sources before submission to any lender, investor, or agency.

AI system disclosure pursuant to Colorado SB 24-205: the signed-in Guideline Search uses artificial intelligence to summarize publicly available agency documents. The public Guideline Search returns excerpts only and does not invoke a generative model. Both surfaces are designed as informational reference tools and do not make or substantially factor into consequential decisions. Loanwright voluntarily aligns its AI governance practices with recognized frameworks, including the NIST AI Risk Management Framework and ISO/IEC 42001. This voluntary alignment does not constitute a warranty, certification, or guarantee of any kind and does not create obligations beyond those stated in these Terms. 5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to your account. You must be at least 18 years of age to use the Service.

Accounts are individual and non-transferable. You may not share your account credentials with any other person or allow multiple individuals to access the Service through a single account. Each person who uses the Service must have their own account.

Upon termination of your account (whether by you or by us), your data will be handled as described in Section 13 (Termination) and in our Privacy Policy.

6. Acceptable Use

You agree not to: (a) misuse the Service; (b) attempt to access other users' data; (c) reverse-engineer, decompile, or disassemble the platform; (d) use the Service for any unlawful purpose; (e) upload malicious files or content; (f) circumvent usage limits or security measures; or (g) represent AI-Generated Content or Guideline Search results to any third party (including borrowers, regulators, investors, or lenders) as your own work product, as a compliance certification, or as a substitute for independent professional analysis.

The Service enforces usage rate limits to ensure fair access and protect against abuse. If you repeatedly exceed these limits, your access may be automatically suspended for a temporary period. Repeated or egregious violations may result in permanent account termination at our sole discretion.

7. Payment, Billing, and Refunds

The Service offers a free tier and paid subscription plans. Paid subscriptions are billed monthly via Stripe. By subscribing, you authorize recurring charges to your payment method. You may cancel at any time through your account settings or the Stripe billing portal; cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months. We reserve the right to change pricing with 30 days' notice to active subscribers.

If your subscription lapses or is cancelled, your account reverts to the free tier. You will lose access to paid features (including Guideline Search and any associated query history) until you resubscribe. Your loan file data, uploaded documents, and condition records are retained regardless of subscription status and remain accessible under free-tier limits.

8. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is owned by Loanwright and protected by intellectual property laws. You retain ownership of any data you upload. By using the Service, you grant us a limited, non-exclusive license to: (a) store, process, and display your data to provide the Service; and (b) for signed-in Guideline Search, use your queries in anonymized, non-identifying form to generate cached answers that may be served to other signed-in users asking substantially similar questions. Cached answers do not identify you as the original questioner, and the cache is not shared with the public Guideline Search surface. Agency Guidelines remain the property of their respective publishers.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We do not sell or rent your personal information or loan file data.

You acknowledge that data you enter into the Service may constitute nonpublic personal information (NPI) as defined by the Gramm-Leach-Bliley Act (GLBA). You are solely responsible for ensuring that your use of the Service, including your entry of borrower data, complies with your own GLBA, state privacy, and other regulatory obligations. Loanwright acts as a service provider under GLBA and processes your data only as described in these Terms and the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CHECKLISTS, AI-GENERATED CONTENT, GUIDELINE SEARCH RESULTS, OR OTHER OUTPUTS GENERATED BY THE SERVICE. AGENCY GUIDELINES ARE THIRD-PARTY PUBLICATIONS; WE DO NOT WARRANT THEIR ACCURACY OR CURRENCY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOANWRIGHT, ITS OWNER, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT OR GUIDELINE SEARCH RESULTS. OUR TOTAL AGGREGATE LIABILITY FOR ALL DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNTS YOU HAVE ACTUALLY PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Loanwright and its owner, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your reliance on AI-Generated Content or Guideline Search results; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

Data upon termination: After termination, you may request a copy of your data (loan files, uploaded documents, condition records) within 30 days. We will provide your data in a commonly used, machine-readable format. After 30 days, your data will be deleted in accordance with the retention schedule described in our Privacy Policy. Audit logs may be retained for up to 12 months after termination for security and compliance purposes.

Refunds upon termination by Loanwright: If we terminate your account without cause during an active paid billing period, we will refund the prorated unused portion of your current billing period. No refund is provided if termination is for cause (violation of these Terms, abuse, or unlawful activity).

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law provisions. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Colorado. You waive any objection to jurisdiction and venue in such courts.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice within the Service at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
